Corporate Secretariat Executive:

Supports CEO in his/her role as the executive officer of DPH in areas of corporate governance, Governing Council and its Executive Committee, enterprise risk and strategic planning inclusive of business continuity.

Corporate Governance:

  1. Annual corporate cycle: Ensure it operates smoothly and in a timely manner for formal decision making and reporting, including ensuring that an annual members meeting (and other formal public meetings) are held in accordance with all requirements. In coordinating and/or contributing to the production of all appropriate reports, forward plans, self-certifications and submissions to relevant regulatory bodies and ensure that they are published, where appropriate, and available for public. Manage legal and constitutionally compliant arrangements for elections to the Exco and Council and the appointment of stakeholders; manage the process for resignations and replacements between elections. Liaise with external service providers, as appropriate.
  2. Compliance: Ensure compliance with all prevailing regulatory requirements and governances, with the expectations of a well governed charity. Operate all registers required by the Constitution or related legislation to be established and maintained and available for public inspection. Work with all relevant stakeholders to facilitate, add value to, and ensure all audit matters are run smoothly and appropriately closed.
  3. Policy: Ensure that all organizational policies conform to prescribed templates and that changes to policies are reflected on DPH’s Document Management System.
  4. Enterprise Risk Management (ERM) and Business Continuity Planning (BCP): Administer the risk management registers to be up to date and usable during contingencies in BCP. Work with respective risk owners to identify potential emerging internal and external risk trends, facilitating necessary follow-ups by the risk owners. Prepare dashboards and risk reports for regular presentation to Executive Team, Council, Executive Committee and the ARGC.

Administrative support to CEO and Council:

  1. General Secretariat duties supporting the CEO: Inclusive but not limited to the meetings of the Executive Team (ET), Council, Executive Committee (Exco) and the Audit, Risk and Governance Committee (ARGC). Planning, preparation and timely submission of agendas, reports, supporting papers and minutes.
  2. General Admin: Assist to coordinate induction and training of Exco and Council members as required. Be responsible for the day-to-day management of the database of members and ensuring the information is accurate and up-to-date. Ensure that all processing and storing of membership information complies with information governance and data protection requirements inspection.
  3. Manage the CEO’s calendar.
  4. Manage/maintain the corporate records and documents on DPH’s Document Management System.

Projects:

  1. Undertake projects related to the ongoing improvement of the work of the CEO’s Office, including the archival and order of documents and policies or any that may improve the operations of the Exco or Council.

Wider Responsibilities:

  1. From time to time, to be part of teams for specific areas of work, including organization events and projects.

Other Requirements

  • Holder of CSIS or equivalent certification or currently pursuing CSIS courses.                 Those who do not hold relevant qualifications are also welcome to apply
  • Relevant corporate secretarial experience in law firms and/or corporate secretarial       firms are preferred but not compulsory. Candidates with no or at least experience         are also welcome to apply
  • Proficient in both spoken and written English
  • An organized and detail-oriented person, motivated by multiple tasks and able to         meet deadlines
  • A team player with positive work attitude, and with good interpersonal and writing       skills
